Database Licensing Question/Request

A friend of mine is wanting to license a database to be used outside of Canada (she is based in Edmonton).

Anybody have experience with the processes to be followed, legal ramifications, taxes to be claimed by licensor and licensee, falling under 'intellectual property' or not, money involved, etc.

I'm doing some searching on the web to see what I can find, but figured there might be a few here who have gone through the process before and would have some tips/insights to share.

Any and all help appreciated.

Is this a database engine that she created, or is it just a schema based on an existing DB. If based on an exisiting DB, then the rights would depend on which DB she used (Oracle, Microsoft, IBM, MySQL, etc.) If it is completely homegrown, then she'll probably need to talk with a patent attorney to figure out how to protect her IP.

Checked with her, and the particulars are:

Web application (front end in asp) with a back end database (database design and schema by her) based in MySQL. Basically a human resources type web application.
