windows 7 upgrade license

I can buy a windows 7 upgrade license from school for pretty cheap. I'm considering building a new PC. I do have a shitty old PC with a Vista License. I can purchase all the components for the new PC, and then assign the old Vista license to be upgraded to Win 7, correct? I have no idea how the upgrade version really works, or if I'm even legit in doing this.

Both Windows Vista and Windows 7 upgrade have the ability to do clean installs. Here is some info on it.

Yep.. you can use the upgrade on a clean HD too.
