Well, from their own words, they weren't concerned with lawsuits at all (there could've been none since the customization tools are in the end user hands), they thought they still had a chance at the NFL license that was soon expiring at the time. Their logic was that if they made a game that allowed you to completely recreate the NFL, the NFL would get upset and not want to do business with them in the future.
The funny part is that their decision to do that angered a lot of their fans, and made their fans no longer want to do business with them, lol. If one guy could make Maximum Football and allow incredibly deep customization, surely a team of guys could put something even better together. 2K miscalcuated and it blew up in their face, and they also didn't listen to a lot of the things their fans had been telling them. It was bad enough they built a skeleton league with no story, but then they decided to just put the end user in handcuffs with the editor.
