Megatron would still beat Jazz, whether or not Megatron was the car and Jazz was the ship.
Just like Optimus would still own Destroyer even if the two of them switched.
Optimus and Megatron will always be the most powerful of the "standard" transformers, no matter what they transform into. They are that much more skilled...just like Megatron will always be more powerful than Optimus, because Optimus was not designed to be a fighter. At least, that is what I recall from the cartoons. For those that want an update on filming locations for the movie. They're shooting the movie right now in White Sands, NM, which is about 2 hours from where I live. They shot the desert scenes there as well for the original. I'm excited to see what they're gonna incorporate for this movie. I've been there a couple of times and there is some much space to shoot a lot of things.

It looks amazing in blu-ray. Picked it up when it came out.
UPDATE:
I CAN'T WAIT!!!If you see the video, walking in THAT sand is tiring, so I can just imagine how grueling it is all day to be there in the heat.
