For the CPU I suspect overall rating plays a role in trade logic along with things like potential, age and contract status. It may also play a role in the amateur draft. Other than that I doubt it factors in decisions the CPU makes.
I use overall in my self imposed trade limitations. Multi player trades must include a player on the trading block and the player who isn't on the trading block can't be higher overall than the player on the trading block. Aside from that overall is an incomplete assessment of the player's abilities. Attributes tell the story.
