I tweeted about this, but this is similar behavior you see from Pink Sheet stocks. An investor comes in with no real information available on them other than the very PR they put out announcing their backing. The parent company of said investor doesn't even have a website, which in this day and age is probably the biggest red flag imaginable. Add to it that their business address is a PO box and you can probably guess that this isn't what it seems.

The valuation makes no sense, and it most likely is a straw-man agreement to try and drum up "other" investors at a crazy valuation. Other flag to me is that the release mentions the agreement doesn't say "will purchase 10%" but instead says "plans to contribute 5 Million for an approximate 10% equity stake." That is not how actual deals get done, or announced.

As to the legal issues of their business model, I have talked about them ad nauseum in this thread. Their model won't hold up to legal challenge, they are simply living in a dream world where they think that they can simply side step contributory infringement.

They filed w/ the SEC to try and raise $20m.

Here's their SEC form:

They have a workspace/office in a shared building in Atlanta, but the company was incorporated in Wyoming in 2018.

$290k of the proceeds (current or former) are earmarked for executive salaries (they have 4 named executives on their site). Minimum investment is $100k, for a total of $20m.

They don't technically have or share the workspace. The company is a member of the facility. No different than being a member of the YMCA. Not sure how you can use that as your business address for government filings, but whatever.

Another thing that puzzles me is the Rule 506(b) filing. If I'm not mistaken, that means you can only sell an unlimited number of securities to banks, business, and people with a networth of over $1M (USD) and a limited number of "non-accredited investors" (aka, normal people). If the filing is retroactive, and they have more than 35 "early backers" that don't meet the aforementioned requirements, will they have to refund people?

Along the same lines, they checked "First Sale Yet To Occur". So are they calling the early backers "investors" for this purpose?

Again, I'm no lawyer or SEC-guru, just a curious learner.

I think they are in a weird gray area probably yet to be challenged in the "crowd funding" era.

Interesting that they incorporated in Wyoming as that is where the phantom company Flonamix is incorporated. Most companies with big expectations, or want to look big, incorporate in Delaware/Nevada. Wyoming is where the mom and pop shops incorporate because it's super cheap.

I said it before, this has a lot of the same feels of a pink sheet stock. Lot's of PR's with "fancy" wording and forms, but with little real information.

There is 0 information. They haven't shown anything new in like 3 years and all they have shown is CONCEPT ART. Nothing regarding an engine, nothing created in said engine. If this was literally any other genre this would've been DOA when they announced that release time frame of 2020. But people are willing to give all these issues a pass because they are soooooooooooooooooooooooo desperate for a new college football game.
